Specific corporate tax issues, such as advantages and disadvantages of S corporation election, depreciation, leasing, accounting methods, and compensation, are also addressed. We prepare and file incorporation documents for corporations and limited liability companies and provide the on-going maintenance of these organizations under state and federal law.
LLC & LLP
We educate our clients on the advantages and disadvantages of establishing a Limited Liability Company (LLC) or a Limited Liability Partnership (LLP), both within and outside Massachusetts. We prepare the initial documents necessary to establish an LLC or LLP, as well as the operating agreements or contracts necessary to govern the relationship between the LLC members or LLP partners.
Partnerships & Joint Ventures
We have organized partnerships, both general and limited, to provide flexible structures for our clients’ tax, estate planning, and legal needs. Our vast experience in special structuring of partnerships provides the most advantageous tax posture for clients in these arrangements.
International Business Organizations
We represent United States subsidiaries and affiliates of foreign business entities doing business in the United States. Through coordination with our worldwide network of overseas lawyers and accountants, our attorneys assist business clients in establishing operating entities in foreign locations.
Contracts
We advise business clients establishing direct or indirect sales and marketing operations as well as those beginning manufacturing and licensing ventures. Our attorneys prepare technology transfer agreements, software licensing agreements, and distribution agreements and advise clients on related U.S. tax implications of such arrangements. We also advise clients on the methods of protecting valuable technology by assisting in the preparation of appropriate employment and independent contractor agreements, and nondisclosure, non-compete, and trade secret agreements, as well as providing corporate representation in employment law matters. We assist both individual and corporate clients in resolving disputes related to such agreements and advise clients on the tax implications of settlement payments.
